Annual Report. A periodic filing confirming or updating a business’s registered details. Some states call it a statement of information, a biennial report, or an annual registration.
Why it matters
Missing it is the single most common reason a business falls out of good standing and eventually gets administratively dissolved. The filing itself is usually trivial; the consequence of forgetting is not.
What to know
- Despite the name, it is not a financial statement in most states.
- Content varies: some states want only the registered agent confirmed, others want officers, addresses and business purpose.
- Due dates vary and are often tied to the formation anniversary rather than the calendar year.
- Some states charge a franchise tax alongside it, which is a separate obligation that can also lapse.

This term appears on business entity search results and in correspondence from the Secretary of State. If you met it on a search result and are not sure how it applies to a specific business, the record itself usually says more than the summary line does.
