Administratively Dissolved. The state closed the business because it stopped meeting its filing obligations, not because anyone decided to close it.

Why it matters

It is the most common way a business dies, and usually the owner did not intend it. Missing two annual reports is often enough. The entity stops existing as a legal person, which can expose the owners personally for anything done in that period.

Common questions

Can a dissolved company be brought back?

In most states, yes, within a reinstatement window, on payment of everything owed plus a penalty. Windows range from about two years to indefinite. After the window closes the entity is gone and the only route is forming a new one, which means a new formation date and a new entity number.

Is the name available after a company is dissolved?

Usually not straight away. Most states hold the name for a period so the original owner can reinstate. The record staying visible on the register is not the same as the name being free, which is why a search showing a dissolved company is a maybe rather than a yes.

Am I personally liable for what happened while dissolved?

Possibly, and this is the part owners miss. The entity is what separates business liabilities from personal ones. If it did not legally exist when a contract was signed or a debt was incurred, that separation is open to challenge. This is a question for an attorney about your specific facts.

Why was my company dissolved without warning?

The state almost certainly did send notice, to the registered agent address on file. When that address is out of date, or the agent has resigned, the notice goes nowhere and the first anyone hears is the dissolution itself. It is the most common reason this happens.
